Katy Wehmeyer advises oil and gas exploration and production companies in oil and gas acquisitions, sales, leasing and operations, title examination and due diligence. OIL AND GAS LEASING AND DEALS

  • Represents exploration and production companies in negotiating and closing thousands of acres of oil and gas leases throughout the State of Texas with specific emphasis on the South Texas, Eagle Ford Shale, West Texas, Permian Basin, Panhandle, East Texas and Eaglebine regions and plays
  • Represents diverse client base, including publicly traded companies, independent E&P companies and private equity and private equity-backed groups
  • Advises on acquisition of both producing and non-producing leases, including negotiation of letters of intent, purchase and sale documentation, due diligence work, confidentiality agreements and title documentation

OPERATIONAL AGREEMENTS AND COUNSELING

  • Represents exploration and production companies in all facets of exploration and development of lease, including joint operating agreements, farmout/farmin agreements, participation agreements and other industry agreements
  • Negotiates acquisition of pipeline agreements, surface use agreements, subsurface easements and other surface rights
    Advises clients with regard to lease compliance issues, including royalty payment obligations, payor and division order obligations
  • Negotiates master service agreements and counsels clients regarding risk allocation issues

TITLE EXAMINATION AND DUE DILIGENCE

  • Conducts due diligence work in connection with purchase of mineral and royalty interests
  • Conducts due diligence in connection with acquisition of oil and gas leases, including asserting and resolving title defect issues and coordinating with and managing brokers in field
  • Preparation of original title opinions, supplemental title opinions and division order title opinions

REPRESENTATIVE ENGAGEMENTS

  • Represents several private-equity backed independent producers in South Texas leasing and drilling program
  • Represents publicly traded company in connection with division order and payor obligation matters
  • Represents several publicly traded companies in connection with general oil and gas transactional matters, including oil and gas lease negotiation
  • Deep oil and gas leasing experience in Eagle Ford Shale and Permian Basis regions
